Requirements
Legal & Business Status
- Must be a registered business name or limited liability company (not an individual)
- Provide CAC registration documents (Certificate of Incorporation or Business Name Registration)
- Have a verifiable business address or operational presence
Operational Capacity
- Demonstrate the ability to recruit, manage, and supervise Agents
- Have capacity to train Agents and Customers
- Be able to act as a physical contact point for WaZoBia-invoice in their territory
Marketing & Growth Capability
- Ability and willingness to promote, market, and advertise WaZoBia-invoice products
- Capacity to execute local marketing, activations, or partnerships
- Willingness to work with sales and performance targets
Performance Accountability
- Agree to targets set by WaZoBia Admin
- Set and enforce targets for Agents under supervision
- Submit performance reports when required
Compliance & Integrity
- Maintain proper records of Agents and Customers
- Comply with WaZoBia branding, pricing, and communication rules
- Avoid conflicts of interest and misrepresentation of WaZoBia

TERMS AND CONDITIONS FOR WaZoBia AUTHORISED SALES PARTNERS (ASP) | Effective Date: 01/01/2026
These Terms and Conditions ("ASP Terms") govern the relationship between WAZOBIA SMARTECH LTD ("WaZoBia", "WAZOBIA SMARTECH", "we", "us", or "our") and approved Authorised Sales Partners (ASP). By onboarding or operating as an ASP, you agree to these ASP Terms.
1. DEFINITIONS
Authorised Sales Partner (ASP): A registered business name or limited liability company authorised to recruit, train, and manage Agents and Customers on behalf of WaZoBia.
Agent: A WaZoBia-approved individual supervised by an ASP.
Customer: Any subscriber to WaZoBia services.
Commission: Compensation payable to an ASP based on subscription revenue.
2. APPOINTMENT AND STATUS
ASPs are independent contractors and not employees or legal representatives of WaZoBia.
Appointment is subject to WaZoBia approval and ongoing performance and compliance.
3. ASP ROLES AND RESPONSIBILITIES
Authorised Sales Partners shall:
• Recruit, onboard, and supervise WaZoBia Agents.
• Provide training and continuous support to Agents.
• Deliver Customer training where required.
• Actively promote, market, and advertise WaZoBia products and services within their assigned territory using approved branding and messaging.
• Set performance and sales targets for Agents under their supervision and monitor achievement of such targets.
• Be subject to performance and sales targets set by WaZoBia Admin, which may be reviewed periodically.
• Serve as the primary physical contact point for WaZoBia invoices and official engagements within their territory.
• Monitor Agent conduct and escalate unresolved issues to WaZoBia Admin.
4. DUAL ROLE AS ASP AND AGENT
An ASP may also act as an Agent.
When acting as an Agent, the ASP is entitled to Agent commissions in addition to ASP commissions, provided no duplication occurs for the same subscription.
5. ASP COMMISSION AND REMUNERATION
ASPs are entitled to 10% commission on all subscription revenues generated from:
• Customers directly recruited by the ASP; and
• Customers recruited by Agents under the ASP's supervision.
Commissions are calculated net of taxes, refunds, and chargebacks.
6. PAYMENT TERMS
Commissions are payable only after WaZoBia confirms receipt of Customer payment.
Payment schedules and methods shall be determined and communicated by WaZoBia.
WaZoBia reserves the right to withhold or adjust commissions in cases of fraud, misrepresentation, or policy breaches.
7. TERMINATION
WaZoBia may suspend or terminate an ASP for breach, misconduct, or poor performance.
Upon termination, the ASP must cease all representation of WaZoBia.
Outstanding commissions may be settled subject to review.
8. CONFIDENTIALITY AND COMPLIANCE
ASPs must maintain confidentiality of WaZoBia business, customer, and operational information.
ASPs must comply with all applicable laws and WaZoBia policies.
9. LIMITATION OF LIABILITY
ASPs operate independently and at their own risk.
WaZoBia shall not be liable for indirect or consequential losses.
10. GOVERNING LAW
These ASP Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including applicable commercial and contract laws.
